1. Registration - If you are not a registered The Sports Auction Company (TSAC) bidder, you must register online at www.thesportsauctioncompany.com or call (630) 541-9111 to obtain your bidder information. If you do not recall your user information you can obtain this information by clicking on the "Lost Password" located on all pages of the auction site or call us at (630) 541-9111 if you continue to have difficulty.


2. Bidding - Bidding begins immediately upon the launch of the auction on our website. A new bidding procedure has been developed over the last year or so, and is used by several well-established auctions, and this inaugural TSAC auction will follow this new concept. The auction will close using the "Double Overtime" method, with the 30-minute rule covering the entire auction. The auction will accept “initial bids” up until 8 pm EST ending on auction closing day. On this final day, in order to bid on an item during the “OVERTIME bidding” session, you must place at least one bid on that item prior to this 8:00 PM EST deadline. If a bidder does not bid on an item by 8 PM EST the day the auction closes, the computer system will lock you out and you will be unable to bid on the item during the “OVERTIME bidding” session. If you are the only bidder on a lot at 8:00 PM EST, you will be declared the winner.

After this initial bidding period, we will then go into “OVERTIME.” This begins the auction having a “30-minute rule” and the auction will end after 30 minutes pass without a bid on any individual item in the auction. If bidding progresses and the auction is still active at 11:00 PM EST, any item that has not received a bid during this OVERTIME period will close without notice. Any remaining items will enter the "DOUBLE OVERTIME" period with the 30-minute rule applied to each of the remaining individual open lots. EACH lot will then close individually after that lot goes 30 minutes without any new bids. Whenever a new bid is placed, the online 30-minute timer will be reset automatically, and the countdown will restart. If you are the current high bidder on a lot and you change your ceiling bid after 8:00 PM EST, this will not extend the bidding time. Only a bid placed by another bidder or a higher "straight bid" placed by the current high bidder will reset the ending time on that lot.


Methods of bidding and Minimum bids:

a) Online Bidding - Online bidding for registered users who have obtained a User ID and Password is available 24 hours.


b) Telephone Bidding - Telephone bids will be accepted between 10:00 AM and 8:00 PM EST, Monday through Friday at (630) 541-9111, except for the auction closing date when initial bidding will continue until 8:00 PM EST and then for an indeterminate period in accordance with the OVERTIME BIDDING method "30-Minute Rule." The auction will close in accordance with the rules above at which time we will stop answering the phone.

No retractions of bids are permitted. Please note: Based on past experience at auctions, we expect the auction to continue well past midnight. Should the auction continue past the early morning hours, and bids have slowed to a trickle there may or may not be a public warning as to exactly when the auction will close. We reserve the right to close the auction anytime after 2 A.M. EST at our discretion. 


c) Minimum Bids - Each and every lot within the auction does have a minimum bid designated in both the catalog as well as online. Some of the lots in the auction may have a reserve price. However, please note the vast majority of the lots within the auction do not have a reserve price. A reserve price is the confidential minimum price that a consignor will accept before they will sell the material, this means that a bid of equal or greater than the confidential reserve must be placed for a successful bid to be accepted on that lot. Accordingly, if the reserve price is not met at the conclusion of the auction, the lot will not be sold. If necessary, TSAC may implement this reserve by bidding on behalf of the consignor and may place a bid up to the amount of the reserve, by placing successive bids. In the limited instances where TSAC has a financial interest in a lot beyond our commission, we may place a bid to protect our financial interest. Reserve bid prices are not publicly available and will not be published. Again, please note the vast majority of the lots in every auction will be offered without a confidential reserve in place. For all items in the auction (unless an item is withdrawn during the auction) without a reserve, they will be sold to the highest bidder at or above the minimum bid. Any lot that had an unmet reserve at the conclusion of the auction will show as a "pass" in the online catalog.

3. Buyers Premium - A 20% buyer's premium will be added to all winning bids. For example, the winner of a lot selling for a high bid of $1000 will be billed $1200 plus shipping/handling charges and sales tax, if applicable. 

4. Bid Increments

Bids update in real time on our website, and in order to top the bid, you must conform to the next bidding increment. There are absolutely no exceptions to the minimum raise amounts. If you desire to place a straight bid at a level higher than the next minimum bid level, this is allowed, but it may only be entered with the approval and administration of The Sports Auction Company.

System-generated bid confirmations and outbid notices are generated, but TSAC does not guarantee the confirmations and notices will be received or will be timely. An automated email confirmation or notice may not be received or may be delayed for a number of reasons, including, but not limited to, the computer settings of recipients, which sometimes interpret system email as spam, or disruptions in the internet service. TSAC recommends bidders do not rely exclusively on email outbid notices and actively check the status of their bids online at www.thesportsauctioncompany .com. 

5. "Up To" or "Limit Bids" - "Up to" or "limit" bids are generally set to the most that a bidder is willing to spend for a lot. When placing such a bid you are instructing the auction house to competitively bid on your behalf up to (but not over) a given limit. These "up to" bids will be calculated in accordance with our predetermined bidding increments schedule shown above. "Up to" bids are kept in strict confidence. The TSAC computer will automatically up a bid within seconds of a topped bid, but remember all bids must comply with the minimum bid rule. "Up to" Bids can be done via our website bidding or by calling (630) 541-9111. Please bid with the utmost of confidence.

6. Item Information - All population figures come from the current PSA or SGC Online Population Report and are reported at the time the item is being written for the auction. All valuations as to average selling price for an item, recent sales, “highest sales prices” or any last public sale information are obtained from the Vintagecardprices.com website, a site which tracks third-party graded card sales. Valuations obtained are at the time when a specific item is being written and described for the catalog. After the item has been written in our system, any updated changes after the fact on the PSA, SGC or VCP website for a specific item WILL NOT be updated in the catalog or online. It is up to the bidder to obtain any updated information. All lots and descriptions are available for viewing at www.thesportsauctioncompany.com, or in our full-color catalog. We can also offer detailed phone descriptions. We strongly encourage bidders to take advantage of these services as THERE ARE NO RETURNS. Please do not wait until the final day of the auction to preview the lots as verbal descriptions will not be available on the final day.

7. Payment - Invoices will be sent to all winning bidders within 3 business days after the auction by e-mail, with hard copy invoices only sent to winning bidders who do not have an email on file with TSAC or to those customers who specifically request them via electronic means. Invoices will contain all your auction totals, including the items you won, shipping and insurance costs and tax if applicable. These invoices will always be available for download and printing after the auction. A copy of the payment instructions will also be enclosed with your invoice. Any bidder who has not paid in full without having made prior arrangements for late payment will have future bidding privileges revoked. Invoices are payable upon receipt with payment due no later than 14 days from the date of the invoice. Payments may be made by cash, check, wire transfer (invoices above $10,000 ONLY with a $25.00 charge for wire transfers), or money order. Items paid by cash, wire transfer, and money order will be shipped first. All payments will be placed in the shipping queue in order of receipt. Unless a buyer is well known to us and prior arrangements have been made, personal and business checks will be held for a minimum 7 business days before merchandise is approved for shipment. Once cleared, shipments will be placed in the shipping queue. Any returned checks will incur a $30.00 fee. NO CREDIT CARDS will be accepted for any sale. In the event of a Late/Non Payment involving outside sources to obtain payment, the bidder agrees to pay all of the auctioneer's reasonable attorney's fees and costs involved in collection of funds, plus 1.5% interest per month on any unpaid balance, starting from the original due date until the date that all funds have been collected. The jurisdiction for any litigation shall be at the discretion of the auctioneer in the State of New Jersey, primarily the Federal District Court of Trenton. Each of the terms in the auction rules are distinct and separate. If a winning bidder does not honor his or her bid with payment in full per the auction rules, then it is agreed that TSAC at its sole discretion can sell the given item(s) to the under bidder or re-offer the items in a future auction, and that the original winning bidder is responsible for any losses incurred or service charges involved in the sale of the said item(s). The non-paying winning bidder explicitly agrees to pay any and all costs of collection, including, but not limited to, reasonable attorney's fees incurred by TSAC in the collection of these losses and/or service charges from the non-paying winning bidder.

8. Shipping - Costs for packaging, shipping and insurance will be added to all invoices. Absolutely NO lots will be shipped until full payment is received. All winning bids will be subject to the buyer’s premium, plus additional shipping, handling and insurance charges. We ship primarily with FedEx and USPS; with almost all normal-sized items shipped under our FedEx number, via (at minimum) their 2-day service. If a winning bidder wishes to have their winnings shipped  FedEX overnight service, additional charges will apply.

While most packages will be shipped FedEx, we can at our discretion to deliver packages via USPS. All items will be shipped to the primary address listed under the account. If you would like your winning items shipped to another address, this must be pre-approved and done prior to invoices being sent out.

If any winning bidder wishes their items to be shipped by another carrier such as UPS, please contact us before the final day of the auction.

Also, if there are any oversized and/or very heavy items, these items will be shipped via FedEx Ground service.

All items valued at $500 and over will be shipped signature required.

Framed Items – TSAC will make every effort to ensure items enclosed in frames are packed and shipped as carefully as possible, however, we will not be responsible for the frames themselves, and no refunds or adjustments will be given for frame or glass damage. 

9. Taxes and Fees: The winning bidder agrees they will be responsible for the payment of any and all applicable taxes due in connection with the winning lot, including but not limited to sales tax, use tax and value-added tax (VAT). All winning lots which are picked up from our New Jersey office will be charged New Jersey sales tax.  Any bidder who has their items delivered to the following states or districts will be charged applicable sales tax unless they provide TSAC with a valid resale certificate prior to shipment:

Arizona, California, Colorado, Connecticut, Florida, Illinois, Indiana, Kansas, Maryland, Massachusetts, Minnesota, Nevada, New Jersey, New York, North Carolina, Ohio, Oklahoma, Pennsylvania, South Carolina, Texas, Virginia, Washington and Wisconsin. There may be others which are not listed, and the above states may not be a complete list at the time the auction commences. Certain countries, regions, states, or municipalities may charge taxes or fees to buyers living in their jurisdiction.  Please familiarize yourself with these and how they will affect your purchase prior to bidding.

10. Returns - RETURNS ARE NOT ALLOWED. All items are sold 'As Is'. We will make every effort by all means necessary to describe as accurately as possible any item in the auction for you. The emphasis, therefore, is on the bidder to ensure that the lots are satisfactory and are not returned. The principals of TSAC have a combined 60+ years in the sports collectibles industry.

11. Grading: All grading is subjective. What one veteran hobbyist deems Near Mint; another might feel an item is EX-MT. The two principals on The Sports Auction Company have a combined 60+ years in the hobby. We make every attempt to point out all aspects regarding condition and we provide quality photographs online and in our catalog. By appointment only, you may inspect lots in person prior to the close of the auction. However, anything we grade in our auction may not conform to the standards of 3rd party authenticators (TPA's) and are not bound by the opinions of any authenticators, grading services, or other experts. All measurements given in the descriptions are approximate.

12. Authenticity - TSAC takes extreme pride in the authentication of the material offered within our auctions. All items are sold as 100% genuine and every effort has been made to ensure the authenticity of each item in our auction. In many instances, we use reputable third-party authentication. While we as a firm perform due diligence in order to maintain the integrity of our auctions, we encourage bidders to use every resource available to them to draw their own conclusions. As a firm, we will make every effort to help in the process to ensure the authenticity of the items within the catalog. It is our policy all sales will be considered final.

a) Trading Cards/Tickets - TSAC will use the services of third-party graders such as PSA, Beckett and SGC regarding authentication and encapsulation of trading cards or other items available for encapsulation. We do not guarantee any items graded by a specific company will receive the same grade by a competing grading company. Any trading card, card related item or group of items which is not third-party graded is viewable on our website, in person, and through our detailed descriptions. Please review these images and make your own judgments regarding “condition” before bidding as there are no returns unless an ungraded item has an error in description. Any grades given on items NOT graded and/or encapsulated are internal estimates of grades and are not guaranteed to receive those grades by a third-party grading company, nor is a difference of opinion on those grades considered an “error in the description”.

b) Autographed Items – TSAC auctions will use third-party authentication services by one of the leading companies in the industry such as PSA/DNA, JSA, and Beckett. Sometimes we will auction items which are “first-party” authenticated such as direct from MLB Authenticated, Tri-Star, Steiner, Upper Deck or a specific player who provides their own hologram authenticated items such as Joe Namath, Joe Montana, and Nolan Ryan (among others). Any items which come with an LOA from any of these companies is NOT returnable. In addition, from time to time TSAC will have autographed items 'pre-authenticated' of ‘pre-certified’ by PSA/DNA or Beckett or comes with an “auction letter” from JSA. These ‘pre-certed’ items are also non-refundable. We do not guarantee all companies which certify autographs will agree with another company’s opinion and a certified autograph by PSA/DNA, JSA or Beckett may not be returned due to a competing firm disagreeing with their evaluation. Also, since authenticators move to another company from time to time, differences of opinions occur from the same company. An item with an older LOA from a company, may not be guaranteed to be authentic from the same company which issued the previous letter. TSAC will not be responsible for these inter-company differences of opinion.

NOTE - Please note some autographed items come with a COA or LOA, others might come only with a hologram or sticker and will be so described in the catalog description or online description.

c) Game Used items: Sometimes TSAC will offer a product that is direct from an athlete, team, or specific league and comes with their certification as to game use. There are no returns on items that come with a letter of authentication from an athlete, team or league stating an item was used by a player, even if the player is not the person writing or signing the letter of authentication. For other products, we use a variety of third-party authenticators such as MEARS, MeiGray, John Taube, PSA/DNA, and others  All items which come with documentation of game use or have been authenticated, are NOT returnable regardless of a difference of opinion from a different authenticator.  

13. Acceptance of Terms - Placing a bid constitutes acceptance of the above terms. TSAC reserves the right to accept or reject any or all bids by any bidder and have the right to remove any item from auction at any time. TSAC also reserves the right to rescind the sale of any lot due to title claim and if an item is previously shipped the bidder agrees to return the product for a full refund.
 

14. Auction/Bidder Delays – As today’s business climate is different for multiple reasons, TSAC reserves the right to postpone or delay an auction for any reason without recourse from any consignor, bidder or prospective bidder. TSAC may occasionally experience internet or service outages and may periodically schedule system maintenance and other purposes, during which Bidders cannot participate or place bids. If such outages occur, TSAC may at its discretion extend bidding for the auction, and/or allow a bid to be placed by a bidder who was unable to bid by the deadline due to internet service outages or other technical issues. TSAC is not responsible for system errors and/or software problems if they occur during an auction.  Bidders unable to place bids through the internet should contact our offices at (630) 541-9111 or info@thesportsauctioncompany.com.

15Errors and Descriptions - TSAC reserves the right to remove an item from our auction at any time. Any error in a TSAC auction listing or lot description, whether typographical, photographic or technical, will be dealt with at our discretion. The website will always have the most detailed and up to the minute descriptions on all items, as it can constantly be updated and is not limited to space within a catalog. Please be sure to check the website for the most detailed descriptions and product images. The website may be updated during the auction to provide additional images, LOA's or product information. After catalog production ensues, any updated description will be bolded in red in the online version.

If there is an error in the description that a winning bidder believes has occurred, they MUST CONTACT US WITHIN 14 DAYS OF RECEIVING THE ITEM(S) to discuss. If we are contacted after 14 days, even in the event of a description error, the bidder shall have no recourse. At its sole discretion, we as TSAC will handle these cases on a case by case basis.

16. Ownership of Items:  While many of the items being sold are direct consignments, TSAC Auctions or its employees may have an ownership interest in various items being offered for sale. 

17. Non Payment of Item(s):  If a winning bidder does not honor his or her bid with payment in full per the auction rules, then it is agreed that The Sports Auction Company, may at its sole discretion, sell the lots to the under bidder, offer the lots again in a future sale, or hold the defaulting buyer liable for the entire purchase price. In either case, it is explicitly agreed that the non-paying winning bidder will be responsible for any and all losses incurred, and also be responsible for all service charges and/or commissions related to the subsequent sale and that the non-paying winning bidder explicitly agrees to pay any and all costs of collection including reasonable legal fees incurred by TSAC in the collection of these losses. In addition, non-paying bidders understand that TSAC may, at its discretion, share their information with other auction houses or print it in the next catalog or on its website. Also, if a prospective bidder has previously been approved, but the principals at TSAC learn of this bidder’s reneging of bids in another company’s past or present auction, AT OUR SOLE DISCRETION, we can remove this bidder’s current bidding privileges in the TSAC auction – even if the auction is currently underway.
 

18. Exclusive Dispute Resolution Process:  All claims, disputes or controversies in connection with, relating to and/or arising out of your participation in the auction (whether as a consignor, bidder or otherwise) including any purchaser of any item, any description of an item, any damage to an item whether asserted in contract, tort, or under any Federal or State statute or regulation hereto hereby submit to the non-exclusive jurisdiction of the United States District Court for the District of New Jersey or, if jurisdiction in such court is lacking, the courts of the State of New Jersey in connection with the filing of a lawsuit or arbitration proceeding and for the enforcement of a decision by an arbitration proceeding hereunder.  Any dispute arising out of or relating to this Agreement, including, without limitation, the interpretation of any provision in this Agreement or the breach, termination or validity hereof, shall be adjudicated in the forum of TSAC’s choosing. If we elect to arbitrate the dispute, rather than file a Complaint in the District/State Court(s) of New Jersey, the proceeding shall be conducted by the American Arbitration Association in accordance with their Commercial Arbitration rules then in effect. Any arbitration proceeding shall be held in Toms River, New Jersey or another destination at TSAC’s choosing. This arbitration is in lieu of any litigation and the parties hereto expressly waive their right to court or jury hearings. The prevailing party, regardless of forum, shall be entitled to collect reasonable attorney’s fees and the costs of collection.

19. Limitation of liability: In no event will the liability of The Sports Auction Company, Inc. exceed the purchase price paid for any lot, and in the event of an irreparable issue with any lot(s), the final result would be the retun of the lot for a full refund including buyer's premium. The Sports Auction Company, Inc. shall have no liability to any claims made by the under-bidder or any bidder who is not the winning bidder of a particular lot.

20Placing a bid is acceptance of these terms: Any person participating in or who registers for the auction agrees to be bound by and accepts these Terms and Conditions of Auction. If an entity places a bid, then the person executing the bid on behalf of the entity agrees to jointly and personally guarantee payment for any successful bid.

21. Laws: These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Jersey. User and this Auction Site agree to submit to the exclusive jurisdiction of the courts of the State of New Jersey. If any provision(s) of these Terms of Service is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. This Auction Site's failure to exercise or enforce any rights or provisions of these Terms of Service shall not constitute a waiver of such right or provision unless acknowledged and agreed to by this Auction Site in writing. User and this Auction Site agree that any cause of action arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The section titles in these Terms of Service are provided for reference purposes only and have no legal or contractual significance.

22. Description of Service - The Sports Auction Company provides its users with an Internet auction service for the purpose of buying and selling personal property. Users agree to provide certain current, complete, and accurate information about themselves and to maintain and update this information as required to keep it current, complete and accurate. All information requested on original sign up shall be referred to as registration data ("Registration Data").
 

23. Modifications to Terms of Service - This Auction Site may change these Terms of Service from time to time and reserves the right to modify or discontinue the Service with or without notice to user. This Auction Site shall not be liable to users or any third party should this Auction Site exercise its right to modify or discontinue the Service. Users may or may not be notified by email of any change in these Terms of Service. User's continued use of the Service constitutes both: (1) their acknowledgment of these Terms of Service and any modifications; and (2) User's agreement to abide and be bound by these Terms of Service and modifications.

24. Termination - Should user object to any of these Terms of Service or any subsequent modifications thereto or become dissatisfied with the Service in any way, user's only recourse is to: (1) discontinue use of the Service; (2) terminate Service membership; and (3) notify The Sports Auction Company of termination.

25. User Eligibility - Our services are available exclusively to individuals able to form legally binding contracts under applicable law. Without limiting the foregoing, our services are ONLY available for users 18 years of age and older. Furthermore, this Auction Site reserves the right to refuse service to anyone for any reason whatsoever.

26. Registration and Account Security - Users agree to provide true and accurate information about themselves in the registration form. If any information provided by user is incomplete or inaccurate, this Auction Site retains the right to terminate user's membership and rights to use the Service. As part of their registration, users will receive a User ID and Password. Users are encouraged to keep their User ID and Passwords private because the foregoing data is the only information needed for purchasing power. Users are responsible for the confidentiality of their User ID and Password as well as for any and all activities which occur under their user ID and password-protected account. User agrees to immediately notify this Auction Site of any unauthorized use of their User ID or Password or any other breach of security known to user.

27. User Conduct - User is solely responsible for the contents of his or her transmissions through the Service. Use of the Service is subject to all applicable local, state, national and international laws and regulations. Attempts to gain unauthorized access to other computer systems are prohibited. This Auction Site may, at its sole discretion, immediately terminate Service should user's conduct fail to conform to these Terms of Service and User Agreement.

28. Other Limitations - This Auction Site retains the right, at our sole discretion, to determine whether or not a user's conduct is consistent with the letter and spirit of this Agreement. This Auction Site reserves the right to terminate service if a user's conduct is found to be inconsistent with these Terms of Service and User Agreement.

29. Bidding and Buying - The Sports Auction Company has the right to establish general practices and limits concerning users' bidding privileges and procedures for any reason whatsoever. A user who has entered the highest accepted bid at the end of an auction is obligated to complete the transaction. ONCE ENTERED, BIDS ARE NOT RETRACTABLE. This Auction Site and its host are not responsible for bids not being processed or not being accepted due to technical difficulties. Moreover, bid manipulation of any kind is expressly forbidden. Unless a bidder’s privileges have been revoked, every registered bidder within the auction is allowed to bid on any lot at any time. Buyers are prohibited from communicating with each other with the purpose of manipulating the final purchase price of an item. Please note that it is a violation of law to make bids in a false name or with an invalid payment method, even if our software initially accepts such a bid. Be aware that even if you do not give us your real name, your web browser transmits a unique Internet address to us, which can be used by law enforcement officials to identify you. Do not test our auctions with false bids. This puts you at substantial personal legal risk. Fraudulent bidders will be prosecuted to the fullest extent of the law. Currently, both the FBI and the US Secret Service are responsible for investigating all Internet fraud cases.

30. Acknowledge of Acceptance of Terms of Service - As operated by TSAC, this auction service is provided to you under the foregoing Terms of Service and any operating rules or policies that may be published by this Auction Site. The Terms of Service comprise the entire agreement between Member and this Auction Site and supersede all prior agreements between the parties, regarding the subject matter contained herein. By participating in the registration process, you are indicating your agreement to be bound by all of these Terms of Service.

31. Disclaimer of Warranties - USER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT USER'S SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS" AND & "AS AVAILABLE" BASIS. THIS AUCTION SITE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TSAC MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES TSAC MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. TSAC MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY USER FROM TSAC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

32. Limitation of Liability - TSAC OR ITS HOST SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE, OR FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, OR RESULTING FROM ANY GOODS OR SERVICES PURCHASE OR OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO, OR ALTERATION OF MEMBER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF THE SPORTS AUCTION COMPANY OR ITS HOST HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

33. Indemnification - User agrees to indemnify and hold The Sports Auction Company, its parents, subsidiaries, affiliates, officers and employees, and likewise the host, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of their use of the Service, a breach of this User Agreement, or the infringement by user, or other user of the Service using registered user's computer, of any intellectual property or other right of any person or entity.
